Terms of engagement

These terms apply to work requested from RuntimeCloud Hub Advisory through this website or at our Bukit Damansara office. They sit alongside any signed engagement letter, which prevails if the two differ.

What we accept

We accept professional work limited to the financial examination of applications used for subscription billing, and closely related revenue, credit, cut-off, and ledger-interface procedures described on this site. Sending a form is a request for a scoping note, not the start of an engagement.

Engagement letters

Work begins only when both sides have signed an engagement letter (or accepted it in writing) stating scope, period, deliverables, timetable, and fees. Until then, any document request is preparatory and may be withdrawn.

Your responsibilities

You remain responsible for the books, the billing application, tax filings, and any statutory audit. You must provide complete extracts, access, and explanations in time for the procedures we agreed. We may qualify or stop the report if access is refused or the population cannot be defined.

Our responsibilities

We perform the procedures in the letter with reasonable professional care. We do not issue a statutory audit opinion under the Companies Act 2016, we do not provide a tax opinion, and we do not warrant that every error in a billing application will be found. Sampling and analytical procedures have inherent limits.

Independence

We will not, in the same period, implement or administer a billing application we have been engaged to examine. Tell us about other advisers on the same application so we can consider conflicts.

Confidentiality

Working papers, extracts, and reports are confidential. We may disclose them if required by Malaysian law, a regulator, or a professional body, or with your written instruction (for example, to your statutory auditor).

Intellectual property

You may use the report for the purpose stated in the letter. Our working-paper templates, checklists, and methodology remain ours. You may not publish the report or quote it in marketing without written consent.

Fees and expenses

Fees are as quoted in the letter. Out-of-pocket expenses (travel beyond the Klang Valley, specialist extracts, translation) are billed at cost when agreed in advance. Website fee notes are illustrations, not a standing offer.

Liability

Our liability for an engagement is limited to the fees paid for that engagement, except in cases of fraud or other liability that Malaysian law does not allow us to limit. We are not liable for loss caused by incomplete information, by decisions you take on the report, or by third-party systems we did not examine.

Governing law

These terms are governed by the laws of Malaysia. The courts of Kuala Lumpur have exclusive jurisdiction, unless the engagement letter names another forum.
